TERMS AND CONDITIONS OF USE

MOBI ASTRA LLC

1. SERVICE PROVIDER IDENTITY

These Terms and Conditions of Use (the “Terms”) govern the access to, use of, and contracting of services, software, applications, platforms, APIs, technological infrastructure, and any related functionalities (collectively, the “Platform”) operated by Mobi Astra LLC (“Mobi Astra”).

The User acknowledges that Mobi Astra is a technology company providing digital solutions under licensing, subscription, or usage-based models.

2. ACCEPTANCE AND BINDING EFFECT

Accessing, registering for, or using the Platform constitutes:

  • Express, irrevocable, and unconditional acceptance of these Terms
  • Full legal obligation to comply with them
  • Waiver of any claims based on lack of knowledge of these Terms

If the User does not agree, they must refrain from using the Platform.

3. PURPOSE OF THE SERVICE

Mobi Astra grants the User a:

  • Limited, non-exclusive, revocable, and non-transferable license
  • To use the Platform in accordance with its functionalities

The Platform may include:

  • Management tools
  • Technological control systems
  • Integrations
  • Automations
  • Complementary digital services

Mobi Astra may modify, expand, reduce, or discontinue functionalities at any time without liability.

4. NATURE OF THE SERVICE (AS IS)

The Platform is provided:

  • “As is”
  • “As available”

Mobi Astra:

  • Does not guarantee error-free operation
  • Does not guarantee uninterrupted availability
  • Does not guarantee business results

The User assumes all risks associated with use.

5. USER REGISTRATION AND RESPONSIBILITY

The User is responsible for:

  • All activity under their account
  • The accuracy of provided information
  • Compliance with applicable laws

The User shall be fully liable to third parties for use of the Platform.

6. PERMITTED USE AND RESTRICTIONS

The following are strictly prohibited:

  • Illegal or fraudulent use
  • Reverse engineering, decompilation, or code extraction
  • Interference with infrastructure
  • Use for unauthorized financial, commercial, or regulatory activities
  • Violation of third-party rights

Mobi Astra may suspend or terminate accounts without prior notice.

7. LICENSES AND PAYMENTS

Where applicable:

  • Access may be subject to fees, subscriptions, or licenses
  • Prices may change at any time
  • Non-payment may result in suspension or termination

No refunds will be granted unless expressly stated.

8. INTELLECTUAL PROPERTY

All rights to the Platform belong exclusively to Mobi Astra, including:

  • Software
  • Algorithms
  • Data models
  • Interfaces
  • Branding and content

The User acquires no ownership rights.

9. DATA AND INFORMATION PROCESSING

The User expressly acknowledges and agrees that:

Mobi Astra may collect, store, process, analyze, and exploit all information generated within the Platform, including:

  • Operational data
  • Technical data
  • Transactional data
  • Statistical data
  • Behavioral data

Mobi Astra may use such data to:

  • Improve the Platform
  • Develop new products or services
  • Generate analytical or predictive models
  • Share information with affiliates or business partners
  • Pursue commercial, technological, or strategic purposes

To the maximum extent permitted by law:

  • Data may be anonymized or non-anonymized
  • The User grants Mobi Astra a worldwide, irrevocable, perpetual, royalty-free license over such data

The User represents and warrants that they have all necessary rights to the data they introduce into the Platform.

10. LIMITATION OF LIABILITY (CRITICAL)

To the fullest extent permitted by law:

Mobi Astra shall NOT be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of revenue, customers, or reputation
  • Technical failures, interruptions, or errors
  • User business decisions
  • Misuse by third parties

Mobi Astra’s total liability shall, in all cases, be limited to:

  • The amount actually paid by the User in the last three (3) months
  • Or zero if no payments have been made

11. INDEMNIFICATION

The User agrees to indemnify, defend, and hold harmless Mobi Astra from:

  • Any third-party claims
  • Damages, losses, or penalties
  • Misuse of the Platform
  • Breach of these Terms

12. AVAILABILITY AND MODIFICATIONS

Mobi Astra may:

  • Modify the Platform at any time
  • Interrupt services
  • Update functionalities

Without prior notice or compensation.

13. TERMINATION

Mobi Astra may suspend or terminate access:

  • At any time
  • Without cause
  • Without liability

The User may also discontinue use at any time.

14. RELATIONSHIP BETWEEN THE PARTIES

Nothing in these Terms creates:

  • Employment relationship
  • Partnership
  • Joint venture
  • Legal representation

Each party acts independently.

15. THIRD-PARTY SERVICES

The Platform may integrate third-party services.

Mobi Astra:

  • Does not control such services
  • Is not responsible for their operation
  • Does not guarantee their availability

16. CONFIDENTIALITY

The User agrees to keep confidential any technical or commercial information related to Mobi Astra.

17. FORCE MAJEURE

Mobi Astra shall not be liable for failures resulting from:

  • Events beyond its control
  • Infrastructure failures
  • Acts of third parties

18. GOVERNING LAW AND JURISDICTION

These Terms:

  • Shall be governed by the laws determined by Mobi Astra depending on the applicable operation
  • May be subject to international dispute resolution mechanisms or arbitration

The User expressly waives any other jurisdiction that may apply.

19. MODIFICATIONS TO THE TERMS

Mobi Astra may modify these Terms at any time.

Continued use constitutes acceptance of the updated version.

20. ENTIRE AGREEMENT

These Terms constitute the entire agreement between the parties and supersede any prior agreements.

21. SEVERABILITY

If any provision is deemed invalid, the remaining provisions shall remain in full force.

ACCEPTANCE

The User declares that they have read, understood, and fully accepted these Terms.

1. IDENTIDAD DEL PRESTADOR DEL SERVICIO

Los presentes Términos y Condiciones de Uso (los “Términos”) regulan el acceso, uso y contratación de los servicios, software, aplicaciones, plataformas, APIs, infraestructura tecnológica y cualquier funcionalidad asociada (en conjunto, la “Plataforma”) operada por Mobi Astra LLC (“Mobi Astra”).

El Usuario reconoce que Mobi Astra es una empresa de tecnología que ofrece soluciones digitales bajo esquemas de licenciamiento, suscripción o uso.

2. ACEPTACIÓN Y CARÁCTER VINCULANTE

El acceso, registro o uso de la Plataforma implica:

  • Aceptación expresa, irrevocable e incondicional de estos Términos
  • Obligación legal plena de cumplimiento
  • Renuncia a cualquier reclamación basada en desconocimiento

Si el Usuario no acepta estos Términos, deberá abstenerse de utilizar la Plataforma.

3. OBJETO DEL SERVICIO

Mobi Astra concede al Usuario una:

  • Licencia limitada, no exclusiva, revocable y no transferible
  • Para el uso de la Plataforma conforme a sus funcionalidades

La Plataforma podrá incluir:

  • Herramientas de gestión
  • Sistemas de control tecnológico
  • Integraciones
  • Automatizaciones
  • Servicios digitales complementarios

Mobi Astra podrá modificar, ampliar, reducir o discontinuar funcionalidades en cualquier momento, sin responsabilidad.

4. NATURALEZA DEL SERVICIO (AS IS)

La Plataforma se proporciona:

  • “Tal cual” (“as is”)
  • “Según disponibilidad”

Mobi Astra:

  • No garantiza ausencia de errores
  • No garantiza disponibilidad continua
  • No garantiza resultados comerciales

El Usuario asume el uso bajo su propio riesgo.

5. REGISTRO Y RESPONSABILIDAD DEL USUARIO

El Usuario es responsable de:

  • Toda actividad dentro de su cuenta
  • La veracidad de la información proporcionada
  • El uso conforme a la ley

El Usuario será totalmente responsable frente a terceros por el uso de la Plataforma.

6. USO PERMITIDO Y RESTRICCIONES

Queda estrictamente prohibido:

  • Uso ilícito o fraudulento
  • Ingeniería inversa, descompilación o extracción de código
  • Interferir con la infraestructura
  • Uso para actividades financieras, comerciales o regulatorias no autorizadas
  • Uso que afecte derechos de terceros

Mobi Astra podrá suspender o cancelar cuentas sin previo aviso.

7. LICENCIAS Y PAGOS

Cuando aplique:

  • El acceso puede estar sujeto a pago, suscripción o licencias
  • Los precios pueden modificarse en cualquier momento
  • La falta de pago podrá resultar en suspensión o terminación

No existe obligación de reembolso salvo disposición expresa.

8. PROPIEDAD INTELECTUAL

Todos los derechos sobre la Plataforma pertenecen exclusivamente a Mobi Astra, incluyendo:

  • Software
  • Algoritmos
  • Modelos de datos
  • Interfaces
  • Marca y contenido

El Usuario no adquiere ningún derecho de propiedad.

9. DATOS Y TRATAMIENTO DE INFORMACIÓN

El Usuario reconoce y acepta expresamente que:

  • Mobi Astra podrá recopilar, almacenar, procesar, analizar y explotar toda la información generada dentro de la Plataforma
  • Esto incluye datos operativos, técnicos, transaccionales, estadísticos y de comportamiento

Mobi Astra podrá utilizar dichos datos para:

  • Mejorar la Plataforma
  • Desarrollar nuevos productos o servicios
  • Generar modelos analíticos o predictivos
  • Compartir información con afiliadas o socios comerciales
  • Fines comerciales, tecnológicos o estratégicos

En la máxima medida permitida por la ley:

  • Los datos podrán ser anonimizados o no anonimizados
  • El Usuario otorga una licencia mundial, irrevocable, perpetua y libre de regalías sobre dichos datos

El Usuario garantiza que cuenta con los derechos necesarios sobre los datos que introduce en la Plataforma.

10. LIMITACIÓN DE RESPONSABILIDAD (CRÍTICA)

En la máxima medida permitida por la ley:

Mobi Astra NO será responsable por:

  • Daños indirectos, incidentales o consecuenciales
  • Pérdida de ingresos, clientes o reputación
  • Fallas técnicas, interrupciones o errores
  • Decisiones comerciales del Usuario
  • Uso indebido por terceros

La responsabilidad total de Mobi Astra estará limitada, en cualquier caso, al monto efectivamente pagado por el Usuario en los últimos 3 meses (o cero si no hay pagos).

11. INDEMNIZACIÓN

El Usuario se obliga a indemnizar y sacar en paz y a salvo a Mobi Astra frente a:

  • Cualquier reclamación de terceros
  • Daños, pérdidas o sanciones
  • Uso indebido de la Plataforma
  • Incumplimiento de estos Términos

12. DISPONIBILIDAD Y MODIFICACIONES

Mobi Astra podrá:

  • Modificar la Plataforma en cualquier momento
  • Interrumpir servicios
  • Actualizar funcionalidades

Sin obligación de notificación previa ni compensación.

13. TERMINACIÓN

Mobi Astra podrá suspender o terminar el acceso:

  • En cualquier momento
  • Sin causa
  • Sin responsabilidad

El Usuario también podrá dejar de usar la Plataforma en cualquier momento.

14. RELACIÓN ENTRE LAS PARTES

Nada en estos Términos crea:

  • Relación laboral
  • Sociedad
  • Joint venture
  • Representación legal

Cada parte actúa de manera independiente.

15. SERVICIOS DE TERCEROS

La Plataforma puede integrar servicios de terceros.

Mobi Astra:

  • No controla dichos servicios
  • No es responsable por su funcionamiento
  • No garantiza su disponibilidad

16. CONFIDENCIALIDAD

El Usuario se obliga a mantener confidencial cualquier información técnica o comercial de Mobi Astra.

17. FUERZA MAYOR

Mobi Astra no será responsable por incumplimientos derivados de:

  • Eventos fuera de su control
  • Fallas de infraestructura
  • Actos de terceros

18. LEY APLICABLE Y JURISDICCIÓN

Estos Términos:

  • Se regirán por la legislación que Mobi Astra determine según la operación aplicable
  • Podrán someterse a mecanismos de resolución internacional o arbitraje

El Usuario renuncia expresamente a cualquier jurisdicción distinta que pudiera corresponderle.

19. MODIFICACIONES DE LOS TÉRMINOS

Mobi Astra podrá modificar estos Términos en cualquier momento.

El uso continuado implica aceptación de las nuevas versiones.

20. ACUERDO TOTAL

Estos Términos constituyen el acuerdo completo entre las partes y sustituyen cualquier acuerdo previo.

21. VALIDEZ LEGAL

Si alguna cláusula es inválida:

  • El resto continuará vigente

ACEPTACIÓN

El Usuario declara haber leído, entendido y aceptado estos Términos en su totalidad.
